Consulting Terms and Consitions – Anderson Consulting partners
1. Scope of Engagement
ACP will provide security consultancy and related services as outlined in the accompanying proposal or quotation. Any changes to scope must be agreed in writing.
2. Fees and Payment
Fees are exclusive of GST. Payment is due within 14 days of invoice. Late payments attract interest at 2.5% per month, compounded monthly. ACP may suspend services for overdue accounts.
3. Client Obligations
The Client must provide timely access to information, premises, personnel, and any necessary documentation. The Client is responsible for all site safety and for identifying any hazards.
4. Confidentiality
Both parties agree to keep confidential information marked or reasonably understood to be confidential. This obligation survives termination of the engagement.
5. Intellectual Property
ACP retains all rights to documents, reports and materials created during the engagement. A non-transferable, non-exclusive licence is granted to the Client for the purpose of the intended documents only.
6. Limitation of Liability
ACP’s total liability for claims arising from its services is limited to the total amount paid under the proposal. ACP is not liable for indirect, special or consequential loss including loss of profit, revenue or data.
7. Third Parties
ACP may refer or coordinate third-party vendors or solutions but accepts no responsibility for third-party performance or warranties.
8. Insurance
ACP maintains professional indemnity insurance. The Client is responsible for insuring its own assets and systems.
9. Termination
Either party may terminate the engagement with 14 days’ written notice. ACP may terminate immediately for breach, insolvency, or safety concerns. All accrued fees are payable upon termination.
10. Force Majeure
ACP is not liable for delays or failure caused by events beyond its control including acts of God, equipment failure, cyber incidents or industrial disputes.
11. Dispute Resolution
Disputes will be resolved by good faith negotiation. If unresolved after 14 days, the dispute must be referred to mediation in South Australia.
12. Governing Law
These terms are governed by and construed in accordance with the laws of South Australia. The parties submit to the non-exclusive jurisdiction of South Australian courts.
13. Entire Agreement
These terms form the entire agreement unless otherwise varied in writing and signed by both parties. No other terms apply.
